Build the platform. Prove the economics. Scale the add-ons.

Finance built for management-services platforms — multi-entity consolidation, management-fee economics, and board- and lender-ready reporting. And on every add-on and at exit, the diligence team is already in the building.

The problem

A platform is only as credible as its numbers.

Consolidation is still early. Only about 16% of U.S. dentists were DSO-affiliated in 2024, and PE ownership across professional practices roughly doubled in six years — the runway is long, and the competition for good platforms is fierce.

But an MSO or DSO is a different animal than the practices inside it. The management-services / professional-corporation structure, intercompany management fees, and consolidating a dozen entities into one clean financial picture break the bookkeeping that ran a single location. Add in a pipeline of acquisitions, each with its own chart of accounts, and the finance function becomes the gating factor on growth — and on the multiple at exit.

That's the work we do.

⚠

Where it usually hurts

  • MSO/PC structure that finance can't model
  • Management-fee economics & true-ups
  • Consolidating many entities, cleanly
  • Add-ons on mismatched systems & COAs
  • Reporting that won't satisfy a lender or board
  • Diligence surprises that reset the multiple
Why platforms are different

Multi-entity isn't just more bookkeeping.

The platform structure carries accounting and reporting demands a single-site finance team never faces. You want an advisor who has already lived in them.

◊

MSO / PC structure

The friendly-PC model and management agreements that separate ownership from economics — and how the numbers must reflect it.

▣

Consolidation & VIE

Consolidating the professional entities into the MSO, including variable-interest-entity treatment under US GAAP.

⚖

Management-fee economics

Intercompany fees, true-ups, and the margin story that has to hold up to a lender, a board, and a buyer.

↻

Add-on integration

Folding each acquisition onto one chart of accounts, one close, one source of truth — without losing a month.

What we do

Run the platform's finances. Run every deal.

Most firms do the accounting or the diligence. We do both — the monthly rhythm of a scaling platform, and the quality-of-earnings work on each add-on and at exit.

How we work

From first platform build to exit-ready.

A senior-led process with a predictable rhythm — so the platform's numbers are always board-, lender-, and buyer-ready.

1

Discovery

We map the structure, the entities, the capital stack, and what the thesis needs the numbers to prove.

2

Consolidate

We stand up a clean, standardized consolidation across every PC and location.

3

Report

Board, lender, and management reporting that holds up to scrutiny — current, not months behind.

4

Acquire

Buy-side QoE on each add-on, then fast integration onto one close and one source of truth.

5

Exit-ready

The platform is always one step from diligence — and we run the sell-side when it's time.

Is this a fit?

Built for platforms on a roll-up path.

We do our best work with MSO and DSO platforms serious about clean economics and a credible growth story. We're candid when we're not the right call.

A strong fit

  • MSO / DSO platform (healthcare, dental, or multi-site)
  • PE-backed or self-funded with a roll-up thesis
  • Multiple entities to consolidate and report
  • Active add-on pipeline — or an exit on the horizon
  • Needs board-, lender-, and buyer-ready numbers

Probably not yet

  • Single location with no acquisition plans
  • Just needs a bookkeeper or tax filing
  • No multi-entity or consolidation needs
  • Looking for the lowest-cost hourly option
  • Not ready to professionalize the finance function
Representative engagement

The kind of work we do here.

A platform preparing for its next round of add-ons engaged us to get the house in order. We standardized the chart of accounts across entities, built a consolidated monthly close with management-fee true-ups, and stood up board and lender reporting — then ran buy-side quality of earnings on the next acquisition so the sponsor knew exactly what they were buying.

Scaling a platform? Let's talk.

Whether you're standing up the finance function or diligencing the next add-on, a short conversation is often all it takes to see the path clearly.
